Late Lodgement of Appendices 3Y
RareX Limited (ASX: REE, REEO – RareX, or the Company) attaches Appendices 3Y "Change of Director’s
Interest Notice" for James Durrant and Danny Goeman.
The Appendices 3Y relate to the lapse of unvested performance rights which occurred on 10 February 2026
(Mr Durrant) and unlisted options which occurred on 1 March 2026 (Mr Goeman).
In relation to the late lodgement of these notices, the Company provides the following information in
accordance with ASX Listing Rules 3.19A and 3.19B, and ASX Compliance requirements:
• The Appendices 3Y were lodged outside of the 5-business-day window required under ASX Listing
Rule 3.19A.2 due to an administrative oversight. As the transaction involved the automatic lapse of
unlisted options and performance rights rather than an active on-market trade or a change in beneficial
ownership, the administrative process to trigger the corporate notification was inadvertently missed.
The oversight was identified during a routine internal reconciliation, and the corrective notices were
prepared and lodged immediately thereafter.
• The Company and its Directors remain fully aware of their continuous disclosure responsibilities under
the Corporations Act 2001 (Cth) and ASX Listing Rules. RareX Limited has a robust Securities Trading
Policy and established disclosure frameworks in place, which include:
• Letter Agreements: Contractual agreements signed by all Directors upon appointment requiring
prompt disclosure to the Company Secretary of any changes to their notifiable interests.
• Regular Monitoring: Board updates and standing agenda items to ensure director interests and
expiring unlisted securities are systematically cross-referenced.
• The Company considers its existing disclosure arrangements and policies to be adequate and
generally well-enforced. This late lodgement represents an isolated administrative incident. However,
following this review, the Company has enhanced its internal corporate calendar tracking mechanisms
to automatically trigger notifications to the Company Secretary ahead of any upcoming option expiry
milestones to guarantee future compliance.
Yours faithfully,
Oonagh Malone
Company Secretary
